These Terms and Conditions ("Agreement") govern your access to and use of the Maruwa website and the consulting services we provide. Please read them carefully before using our website or engaging our services.
1. Definitions
- "Maruwa", "we", "us", "our": the consulting business operating under the Maruwa name, registered in Thailand at 199 Bang Phli Industrial Estate, Bang Sao Thong, Samut Prakan 10570
- "Services": the manufacturing efficiency consulting services described on this website, including the Production Walkthrough Review, Efficiency Improvement Project, and Manufacturing Advisory Engagement
- "Client", "you", "your": any individual or organisation that engages our services or uses our website
- "Engagement": a specific consulting assignment agreed between Maruwa and a Client
- "Deliverables": written outputs such as line maps, standard routine documents, observations lists, and rollout outlines produced during an Engagement
- "Website": the website operated at maruwax.biz
2. Acceptance of Terms
By using our website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms and Conditions in full.
If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.
3. Service Description
Maruwa provides general operational advisory and consulting services to manufacturers. Our services focus on process observation, workflow documentation, and operational guidance. We do not provide regulated professional services such as legal, financial, medical, or engineering certification advice.
Services are primarily delivered in Thailand. We may accept engagements from clients located elsewhere at our discretion.
4. User Responsibilities
When using our website and engaging our services, you agree to:
- Provide accurate information in any enquiry or engagement communication
- Grant reasonable access to your facilities, personnel, and relevant documentation as needed for us to conduct an engagement
- Inform us of any site safety requirements before we attend your facility
- Use our website only for lawful purposes and not attempt to interfere with its operation
- Not misrepresent the nature or scope of an engagement when communicating with third parties
5. Intellectual Property
All content on our website — including text, design, and branding — is owned by Maruwa and protected under Thai intellectual property law. You may not reproduce, distribute, or use this content without our written permission.
Deliverables produced during an Engagement are provided to you for your operational use. You may reproduce and distribute them internally within your organisation. You may not commercialise, resell, or publish Deliverables without our consent.
Our underlying methods, templates, and frameworks remain our property and are not transferred to you as part of any Engagement.
6. Payment Terms
Our service prices are stated in Thai Baht (฿) as published on our website. Payment terms for each Engagement are agreed in writing before work begins. Standard terms are:
- Production Walkthrough Review (฿4,400): full payment due prior to the scheduled site visit
- Efficiency Improvement Project (฿22,000): 50% upon agreement, 50% upon delivery of final documentation
- Manufacturing Advisory Engagement (฿35,000): payment due at the start of each engagement period
We accept bank transfer (Thai commercial banks) as our standard payment method. Other arrangements may be agreed in writing.
If an Engagement is cancelled by the Client after work has begun, fees for work already completed are non-refundable. Cancellation before work begins entitles the Client to a full refund of any advance payment.
7. Service Delivery
We will use reasonable skill and care in delivering our services. The scope of each Engagement is agreed in writing before work begins. Any changes to an agreed scope must be discussed and confirmed in writing before we proceed.
Timelines stated at the start of an Engagement are estimates and may be affected by factors outside our control, including client availability, access to the facility, and third-party delays.
8. Confidentiality
We treat all Client production data, operational information, and business details as confidential. We do not disclose this information to third parties without your consent, except as required by Thai law.

9. Disclaimers
Our services provide general operational advisory and informational support. We do not provide regulated professional services, and our Deliverables do not constitute legal, financial, engineering, health, or safety advice.
We do not represent that any specific operational outcome will result from our services. Results depend on factors within your organisation that are outside our control, including how recommendations are implemented by your team.
Our website is provided on an "as available" basis. We do not warrant that it will be uninterrupted or error-free.
10. Limitation of Liability
To the fullest extent permitted by Thai law, Maruwa's total liability to you in connection with any Engagement shall not exceed the fees paid by you for that specific Engagement.
We are not liable for indirect, consequential, or incidental losses, including loss of production output, lost contracts, or operational disruption, even if we were advised of the possibility of such losses.
Nothing in these terms limits liability for fraud, gross negligence, or personal injury caused by our negligence.
Force majeure: We are not liable for failure to perform our obligations due to events outside our reasonable control, including natural disasters, government action, or industrial action.
11. Indemnification
You agree to indemnify and hold harmless Maruwa and its personnel from any claims, losses, or expenses arising from your breach of these Terms, your misuse of our Deliverables, or your failure to comply with applicable laws in connection with an Engagement.
12. Termination
Either party may terminate an Engagement by written notice if the other party materially breaches the agreed terms and fails to remedy the breach within 14 days of written notice.
On termination, fees for work completed to the termination date remain payable. Clauses relating to confidentiality, intellectual property, and dispute resolution survive termination.
13. Dispute Resolution
These Terms are governed by the laws of Thailand. In the event of a dispute arising from or relating to these Terms or an Engagement, the parties agree to first attempt resolution by direct discussion in good faith.
If a dispute cannot be resolved directly within 30 days, either party may refer the matter to the Thai courts with jurisdiction in Samut Prakan Province.
14. General Provisions
- Entire agreement: these Terms and any specific Engagement agreement constitute the entire agreement between the parties on the subject matter
- Severability: if any provision is found unenforceable, the remainder of the Terms continues in effect
- Waiver: failure to enforce any provision does not constitute a waiver of future enforcement
- Assignment: you may not assign your rights or obligations under these Terms without our prior written consent
- Notices: formal notices should be sent to [email protected] or to our registered address
15. Changes to These Terms
We may update these Terms from time to time. Updated terms will be posted on this page with a revised effective date. For active Engagements, we will notify you directly of material changes. Continued use of our website or services after an update constitutes acceptance.
